  2. COVENANT NOT TO COMPETE 
  3.  
  4. Planter's Supply Co., referred to as SELLER and Tri-County
  5. Nurseries, referred to as BUYER, agree: 
  6.  
  7. BUYER and SELLER have entered into an agreement dated March 22,
  8. 1995 for Tri-County Nurseries. 
  9.  
  10. In consideration of the mutual covenants and payments to be made
  11. pursuant to the agreement, and in further consideration of the sum
  12. of $ 5,000.00 ( five thousand & no/100 dollars) paid to by BUYER
  13. to SELLER, receipt of which is acknowledged by the SELLER, SELLER
  14. agrees not to compete with BUYER under the terms and conditions
  15. set forth herein. 
  16.  
  17. During a period of 6 months from the date of this agreement SELLER
  18. will not compete at any time, directly or indirectly with BUYER in
  19. the fields of: 
  20.  
  21. supply broccoli seedlings in tri-county area 
  22.  
  23. in the following geographic territory: 
  24.  
  25. Lincoln, Jefferson & Washington Countied 
  26.  
  27. For the purposes of this agreement "competition" shall be defined
  28. to the include, but not be limited to, the following: 
  29.  
  30. (a) participating as a director, stockholder, or partner of, or
  31. having any direct or indirect financial interest (including a
  32. financial interest as a creditor) in any enterprise engaged in the
  33. fields stated above; 
  34.  
  35. (b) participating as an officer, employee, agent, representative,
  36. or consultant in, or rendering any services to, any such
  37. enterprise within the fields stated above; 
  38.

  41. SELLER further agrees that for a period extending 12 months after
  42. the substantial consummation of the sale, SELLER shall not solicit
  43. for employment or employ any of the employees as of the date of
  44. substantial consummation of the same. However, in the event that
  45. BUYER terminates any employee, SELLER may employ that individual,
  46. provided that such employment is not limited by any valid
  47. non-competition agreement either assigned by SELLER to BUYER or
  48. entered into to between BUYER and the employee.

  51. SELLER acknowledges that the restrictions contained herein are 
  52. reasonable and necessary to protect the business and interest
  53. which BUYER is acquiring pursuant to the above-referenced 
  54. purchase and sale agreement. It is further agreed that BUYER would
  55. suffer irreparable injury if the restriction is not obeyed, and
  56. that injunctive relief is appropriate for any violation of the
  57. same.
